Terms of Service

Welcome to AvioLogic. These Terms of Service apply to all services, quotations and agreements between AvioLogic (BV, company number BE 1038.331.946, with registered office at Akkerstraat 32, 2500 Lier, Belgium, hereinafter "AvioLogic") and the client (hereinafter "you" or "the client").
1. Applicability
These Terms of Service apply to every offer, quotation and agreement between AvioLogic and the client, to the exclusion of any of the client's own (purchase) conditions, unless agreed otherwise in writing. By accepting a quotation, confirming an assignment, or using our services, you agree to these terms.
2. Our Services
AvioLogic provides IT automation (one-off development of workflows and integrations) together with related monthly support and hosting subscriptions. We also refer clients to our partners for Aviation Services and Virtual Assistant support; those services are delivered by the respective partner under that partner's own terms, and AvioLogic acts solely as a referrer in that context, not as the service provider or an intermediary performing those services itself.
3. Quotations and Formation of the Agreement
All our quotations are non-binding and valid for the period stated in the quotation (or, absent such a term, 30 days). The agreement is formed once the client accepts the quotation in writing (including by email), or once AvioLogic begins performance of the assignment at the client's explicit request. Changes to an already confirmed assignment are only implemented following mutual written agreement and may result in an adjustment of the price and/or timeline.
4. Prices and Payment
For B2B clients, all stated prices are exclusive of VAT unless explicitly indicated otherwise. One-off development costs are invoiced as agreed in the quotation (typically in instalments). Support and hosting subscriptions are invoiced monthly in advance and paid by standing order or invoice. Invoices are payable within 14 days of the invoice date. In case of late payment, statutory interest becomes due automatically and without prior notice of default, in accordance with the Belgian Act of 2 August 2002 on combating late payment, increased by a fixed compensation of 10% of the invoice amount (with a minimum of €75).
5. Duration, Suspension and Termination of Subscriptions
Support and hosting subscriptions are entered into for an indefinite period with a minimum term of 1 month, and automatically continue until terminated by either party subject to a 30-day notice period, by email to info@aviologic.be. Pausing or cancelling the subscription results in the deactivation of the relevant workflows and their monitoring, so that they are no longer operational. AvioLogic may terminate the agreement with immediate effect in the event of repeated non-payment or a serious breach of contract by the client.
6. Right of Withdrawal (consumers only)
If you enter into a distance agreement with AvioLogic as a consumer (a natural person not acting for purposes related to a trade, business, craft or profession), you have the right to withdraw from that agreement within 14 calendar days without giving any reason. For services, this right lapses once the service has been fully performed, provided performance began with your prior explicit consent and you acknowledged that you would lose your right of withdrawal once AvioLogic had fully performed the agreement. For bespoke automations and projects developed specifically to your individual requirements, the right of withdrawal is excluded once development has started at your explicit request, in accordance with Article VI.53 of the Belgian Code of Economic Law.
7. Liability
AvioLogic undertakes a best-efforts obligation and performs its services with due care and professional skill. AvioLogic's total liability, on any legal basis whatsoever, is limited to the amount paid by the client for the relevant service during the 12 months preceding the event giving rise to the damage, and is in any event capped at the amount covered by our professional liability insurance (if applicable). AvioLogic is not liable for indirect damage (including loss of profit, data loss or business interruption), nor for damage resulting from incorrect, improper or abnormal use of the delivered workflows, nor for outages at third-party services/APIs to which the automations are connected. Nothing in these terms limits AvioLogic's liability for intent, gross negligence, or bodily injury, to the extent such a limitation is not permitted under Belgian law.
8. Intellectual Property & Confidentiality
Unless agreed otherwise in writing, all copyrights and intellectual property rights in the source code, architecture, documentation and methodology developed by AvioLogic remain the property of AvioLogic; the client obtains a non-exclusive right to use the workflows developed specifically for it for the duration of the agreement. Both parties shall treat non-public business, client and process information obtained during performance of the agreement as confidential and shall not disclose it to third parties without prior written consent, except where required by law.
9. Force Majeure
AvioLogic is not obliged to fulfil any obligation if prevented from doing so as a result of force majeure, including outages at third-party services, APIs, hosting providers, or internet infrastructure on which AvioLogic depends to deliver its services.
10. Governing Law, Disputes & Complaints
All quotations and agreements with AvioLogic are governed exclusively by Belgian law. Without prejudice to mandatory consumer-protection provisions, any dispute shall fall under the exclusive jurisdiction of the courts of the judicial district of AvioLogic's registered office. Complaints should preferably first be reported directly to AvioLogic via info@aviologic.be, so that we can address them within a reasonable time. Consumers may also file a complaint via the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr, or contact the Belgian Consumer Ombudsman Service (www.consumentenombudsdienst.be).
